Toadee ("Toadee", "we", "us") provides a software platform that lets bars, restaurants, and similar hospitality venues take patron orders, manage tabs, and accept card payments. Toadee is a software facilitator and is not a merchant of record for any individual transaction.
Toadee uses Stripe, Inc. ("Stripe") to process patron card payments to your venue. By accepting these Terms, you agree to be bound by Stripe's Connected Account Agreement, which forms part of this agreement. Toadee facilitates payment routing but does not hold your funds — captured payments transfer directly to your Stripe-connected bank account on Stripe's standard payout schedule, subject to any platform fees disclosed in your subscription tier. You are responsible for providing accurate business and bank information to Stripe during onboarding, complying with applicable tax reporting (Stripe issues 1099-K forms where required), and responding to chargebacks and disputes raised against your account through Stripe's interface.
Toadee offers a Free tier, a Basic tier, and a Pro tier (a Partner tier exists but is assigned only by Toadee for special-case relationships). Pricing and features for each tier are published on the Subscription page in your admin portal and may change with at least 30 days' notice.
Free-tier App Service Charge. Venues on Toadee's Free subscription tier do not pay a
monthly subscription fee. Instead, patrons of those venues pay an App Service Charge of 2.0% + $0.30
per closed tab (or 1.0% during the venue's first 14 days post-Stripe-Connect-onboarding). This charge
is collected by Toadee via Stripe Connect's application_fee_amount mechanism and does not
reduce the venue's net receipts — venues still receive the full subtotal, tax, and tip as if no fee
had been applied. The charge is disclosed to patrons as a separate line item on their tab and receipt.
Venues upgrading to Basic or Pro tiers are exempt from the App Service Charge entirely; their patrons
pay no platform fee.
For tabs that are not closed by the patron at the end of the night, you may apply an auto-gratuity of up to 20% of the patron's subtotal. The exact rate is configured per-venue in your settings; Toadee enforces a hard ceiling of 20% regardless of your configured rate. The gratuity is disclosed to patrons in the patron-facing terms and on every tab receipt.
You set your own refund policy. Toadee provides refund and void tools in your admin portal but does not dictate when refunds must be issued. Disputes (chargebacks) raised by patrons against transactions on your connected account are your responsibility to respond to via Stripe's interface. Toadee will surface open disputes in your admin Settings page and may proactively reach out if your dispute rate exceeds Stripe's risk thresholds.
You are responsible for: alcohol service compliance with state/local laws (including age verification — Toadee provides ID-check tools but you are the responsible party); collection and remittance of sales tax; appropriate licensing and insurance for your venue type; and your own employees' wages, hours, and labor compliance.
You may cancel your subscription at any time from the Subscription page. Cancellation takes effect at the end of the current billing period. Toadee may terminate any account immediately for violation of these Terms or applicable law.
To keep the Free tier viable for active venues, Toadee may deactivate a Free-tier venue's listing under either of the following conditions:
Deactivation does not delete your menu, floor plan, employees, or historical data — only your visibility to patrons is paused. You will receive an email notification when this happens. Reactivation is automatic on your next processed payment, or you can email support to restore the listing manually. Paid tiers (Basic, Pro) are not subject to this policy.
Toadee may also notify the Stripe Connect platform that an inactive merchant should be disconnected to keep platform costs proportional to active usage. If your Stripe Connect account is deauthorized, you'll need to reconnect it before processing payments again.
Toadee provides the platform on an "as-is" basis. Toadee is not liable for: lost revenue from platform downtime; over-service or other on-premise incidents; alcohol-related liability; tax filing accuracy; or any third-party service (Stripe, Heartland, Adyen, QuickBooks) outage or policy change. Toadee's aggregate liability under these Terms is limited to the amount you paid Toadee in subscription fees in the 12 months preceding the claim.
